Changing legal form, selling or stopping a Dutch business does not end with a KVK click. Plan the tax, contracts, staff, records, permits, bank/payment services and customer/supplier consequences.
Closing checklist
- Decide the legal end/transfer date and notify KVK correctly.
- Settle VAT, income/corporation tax and payroll obligations.
- Handle staff, leases, subscriptions, insurance and permits.
- Collect receivables and settle creditors.
- Keep statutory/tax records for the required period.
- Close or convert bank/payment accounts only after final flows clear.
- Check tax consequences of business assets, reserves and goodwill.
Changing legal form
A move from eenmanszaak to BV is a real legal/tax transition, normally involving a notary for the BV and potentially different tax routes. Get advice before transferring assets/contracts if the amounts are material.
